All meetings cannot be termed as a valid meeting .The meeting
which is legally concerned with the interact of the company is a valid meeting
. The essentials of a valid notice may be stated as follows-
1) The notice must state the date ,
time and place of meeting.
2) The notice must state the nature
of the business to be transacted in the meeting . In other words , the notice
must contain the Agenda for the meeting.
3) Proper length of the notice should
be given as provided by the rules for different meetings .
4) The notice must be served in the
manner provided under the rules.
5) The notice must be served to the
person entitled to receive it.
6) The notice must be signed and
dated by the person authorized to do so.
7) Issue of proper notice is
obligatory.
8) The notice must be clear ,
explicit and unconditional.
